Terms and Conditions of Qoovee Asia LLC (Qoovee brand)

1.1. This document (hereinafter referred to as the "Offer") constitutes a public offer by Qoovee Asia Limited Liability Partnership (hereinafter referred to as the "Contractor" worldwide, and for clients from the Kyrgyz Republic, the Contractor is Elayv LLC). It contains the rules and conditions for the provision of services for the Showroom—a permanent exhibition of product samples and advertising materials from suppliers in Dubai, UAE, and an online exhibition on the Qoovee.com platform. By registering as a supplier on the Qoovee.com platform and/or submitting a participation request via the link https://qvshowroom.com/en/participation-order, any legal entity or individual confirms that they have fully read this Offer and unconditionally agree to and accept the terms and conditions set forth therein.

1.2. This Public Offer and the Price List (hereinafter referred to as the "Price List") are official documents and are published on the websites https://qvshowroom.com and https://qvshowroom.com/en/participation-order.

1.3. Submitting an application for participation (placement) in the Showroom via the link https://qvshowroom.com/en/participation-order shall constitute the basis for issuing an invoice (for legal entities) and a receipt (for individuals) for the services specified in the application form in electronic form.

1.4. Upon acceptance of the terms and conditions set forth in the Offer and payment for the services within the specified time period, the legal entity or individual accepting this offer becomes the Customer. Acceptance of the Offer shall constitute the conclusion of a contract under the terms and conditions set forth in the Offer.

1.5. In connection with the above, please read the text of this public Offer and, if you do not agree with any of its clauses, the Contractor invites you to refuse to use the services.

2. SUBJECT OF THE AGREEMENT

2.1. The subject of this Offer is the provision to the Customer of promotion on the Qoovee.com wholesale platform as a supplier on the Premium plan for an annual period (Premium plan services are listed on the Qoovee.com website), participation in an online exhibition on the Qoovee.com platform, and the right to participate in the Dubai Showroom, with expected launch dates: Q2-3 2026. The Customer undertakes to pay for these services in accordance with the terms of this Public Offer and the Contractor's current price list.

2.2. The Contractor reserves the right to unilaterally change the Price List and the terms of this Public Offer at any time without prior approval from the Customer, provided that the amended terms are published on the website https://qvshowroom.com at least one calendar day prior to their implementation.


3. DESCRIPTION OF SERVICES

3.1. In accordance with the subject matter of this public offer, the Contractor provides the Client with promotion on the Qoovee.com wholesale platform as a supplier on the Premium plan for one year (Premium plan services are listed on the Qoovee.com website), the right to participate in an online exhibition on the Qoovee.com platform, and the right to display product samples in the Showroom (the number of samples and space are specified in the Price List) in Dubai from the date of its official opening, which is expected in Q2-3 2026. However, this date may be adjusted depending on the Showroom's readiness for launch, but will not exceed a date later than December 31, 2027.

4. TERMS AND CONDITIONS FOR PROVIDING SERVICES

4.1. After reviewing the current version of the Price List, the Customer pays for participation.
4.2. Once the Customer has made the payment and the funds have been credited to the Contractor's bank account, this Agreement shall enter into force.
4.3. Services are considered to have been rendered properly and in full if the Customer does not file a complaint within three days of the completion of the services.

5. CONTRACTOR'S RESPONSIBILITIES

5.1. Provide the Services in full, properly, and within the timeframes stipulated by this Agreement.
5.2. Provide the Client with informational and methodological materials.
5.3. Promptly post changes to the online exhibition on the official website of the relevant exhibition.
5.4. In the event of changes to the terms of service provision, notify the Client no later than seven (7) business days prior to the commencement of service provision.

6. CUSTOMER'S RESPONSIBILITIES

6.1. Make payment in the amount specified in the Price List and within the specified timeframe.
6.2. Ensure delivery of samples for display in the Showroom from the official launch.
6.3. Provide complete and accurate information about participants, so that they can register for the event and access the online exhibition.
6.4. Ensure registration and page design on the Qoovee.com platform and post samples (photos/videos/descriptions).
6.5. Not commit any actions or proposals that would give rise to legal action against either the Contractor or the Customer under this Agreement.

7. TERMINATION PROCEDURE

7.1. The Contractor may terminate this Agreement at any time, subject to reimbursement of the amount paid to the Contractor by the Customer. The Contractor must notify the Customer in writing by email at least five (5) business days prior to the expected termination date.
7.2. The Customer may terminate this Agreement at any time, subject to notifying the Contractor in writing by email at office@Qoovee.com.
The following refund policy applies:
Payment is non-refundable.
Costs and fees for money transfers are borne by the Customer.
Funds credited to the Customer's balance on the Qoovee.com platform are used for internal use of Qoovee.com's paid services.
In addition to its own payment methods, the Qoovee.com website administration also entrusts the acceptance of online payments via payment systems and bank transfers to Elive LLC (Kyrgyz Republic) and Qoovee Asia LLC (Republic of Kazakhstan).
The Contractor transfers funds paid by the Customer under this Agreement to the Customer's bank account.

8. LIABILITY OF THE PARTIES

8.1. The parties shall bear liability for failure to perform or improper performance of their obligations under this Agreement, as provided for by the laws of the Republic of Kazakhstan and this Agreement.

8.2. The parties shall bear no liability in the event of force majeure circumstances (unforeseen, inevitable, or uncontrollable events and phenomena: wars, pandemics, natural disasters, strikes, etc.), of which they are obligated to notify the other party in writing no later than the day following the occurrence, with documentary evidence.

9. TERM OF THE AGREEMENT

9.1. This Agreement shall enter into force on the date specified in Section 4.2 of this Offer and shall remain in effect until the Parties fulfill their obligations.

10. DISPUTES BETWEEN THE PARTIES

10.1. In the event of disagreements or disputes regarding issues arising from or related to this Agreement, the Parties shall make every effort to resolve them through negotiations in an atmosphere of cooperation and mutual understanding. If an agreement is not reached, disputes shall be resolved in accordance with the procedure established by the current legislation of the Republic of Kazakhstan.
